Share Incentive Scheme:

The Plan offers you a convenient method of becoming a shareholder in ITT Industries, Inc (the “Company”); by deduction from payroll the chosen level of contributions.  The Plan in the UK has applied for approval from the Inland Revenue, and your payroll deductions will then take place before PAYE tax and National Insurance (NI) are levied on the balance.  You therefore receive full tax relief on your contributions.

Shares must be held under trust and if you leave them in the trust for five years, you pay no income tax or NI contributions on the proceeds.  In addition, there is no Capital Gains Tax (CGT) liability on the shares if you choose to sell them.

The price of the shares is not discounted; however, the Company will pay the brokerage commissions on the purchase of shares. The price you will pay is the price at which ITT Industries Inc shares are trading on the New York Stock Exchange on the day on which Capita executes the trade.
